Roburna Builders — Terms of Use

Roburna Builders is intended for individuals, teams, founders, developers, entrepreneurs, innovators, and existing projects seeking to build products, services, infrastructure, or other solutions within or alongside the Roburna ecosystem.

Participation may be available to different types of builders, including:

• individual or solo builders;
• teams;
• founders and startups;
• existing projects;
• developers and technical contributors; and
• other individuals or organizations whose activities align with the objectives of the Program.

Eligibility requirements may vary depending on the specific initiative, cohort, opportunity, or resources offered through the Program.

You must provide accurate and complete information when applying or participating.

You are responsible for ensuring that your participation in the Program complies with the laws and regulations applicable to you.

Roburna Builders may decline applications or restrict participation where eligibility requirements are not satisfied or where participation would create legal, regulatory, security, operational, or other material concerns.

Certain individuals, organizations, jurisdictions, or activities may be excluded from participation where required by applicable law, sanctions, regulatory requirements, or Program policies.

Applications to Roburna Builders may require information about you, your team, your project, your experience, and your proposed or existing work.

You agree that information submitted as part of an application will be accurate, complete, and not misleading.

You must have the authority to submit information on behalf of a team, company, organization, or project where you are applying in a representative capacity.

Submitting an application does not create an obligation for Roburna Builders to accept you into the Program or provide any particular benefit, resource, funding, investment, partnership, or other support.

Roburna Builders may review applications according to criteria determined by the Program, which may include the quality and feasibility of a project, technical capability, alignment with the Roburna ecosystem, potential impact, team composition, stage of development, and other relevant considerations.

Roburna Builders is not required to provide individual applicants with detailed reasons for an application decision unless required by applicable law or expressly stated otherwise.

Acceptance into Roburna Builders is at the discretion of Roburna Builders.

An applicant becomes a Participant only after receiving an official acceptance or other confirmation from Roburna Builders through an authorized communication channel.

Acceptance may be subject to additional requirements, agreements, documentation, eligibility checks, or participation conditions.

Where applicable, certain benefits or opportunities may be available only to Participants who satisfy additional requirements.

Acceptance into Roburna Builders does not create a partnership, joint venture, employment relationship, agency relationship, fiduciary relationship, or other legal relationship between you and Roburna unless expressly established through a separate written agreement.

Participation in the Program does not grant you authority to represent Roburna or make commitments on its behalf.

As a Builder, you are responsible for your own project, activities, decisions, team, and obligations.

You agree to:

• provide accurate information to Roburna Builders;
• comply with these Terms and applicable Program rules;
• comply with applicable laws and regulations;
• act honestly and professionally when interacting with Roburna, other Builders, mentors, partners, investors, community members, and other participants;
• respect the intellectual property, privacy, and other rights of third parties;
• maintain appropriate security practices for your project, accounts, systems, and digital assets;
• ensure that your project does not knowingly introduce malicious code, harmful functionality, or security vulnerabilities into Roburna or third-party systems;
• obtain all permissions, licenses, and authorizations necessary for the materials and technology you submit or use;
• disclose material information that may affect your ability to participate where reasonably required; and
• comply with any additional requirements communicated to you as part of a specific Program initiative.

You remain solely responsible for your project's development, operations, users, customers, legal obligations, finances, security, and business decisions unless a separate written agreement expressly provides otherwise.

Roburna Builders does not assume responsibility for operating, maintaining, securing, or developing your project merely because you participate in the Program.

5.1 Your Intellectual Property

Except as expressly agreed otherwise in a separate written agreement, you retain ownership of the intellectual property rights that you own in your project, including your software, code, designs, inventions, documentation, trademarks, branding, business materials, and other original materials (“Builder IP”).

Participation in Roburna Builders does not by itself transfer ownership of your Builder IP to Roburna.

You are responsible for ensuring that you have the necessary rights and permissions to submit or use any materials that you provide to Roburna Builders.

5.2 Information and Materials You Submit

By submitting materials to Roburna Builders, you grant Roburna and its authorized service providers a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, store, display, and process those materials solely as reasonably necessary to:

• administer and evaluate your application;
• operate the Program;
• provide Program-related services and support;
• communicate with you;
• maintain Program records; and
• otherwise perform the purposes for which you submitted the materials.

This license does not transfer ownership of your underlying intellectual property to Roburna.

5.3 Public Project and Builder Information

If you are accepted into the Program, Roburna Builders may request or, where appropriately authorized, use certain information about you, your team, and your project for Program-related communications, directories, project showcases, case studies, ecosystem updates, websites, presentations, and social media.

Where public use requires your permission under applicable law or a separate agreement, Roburna will obtain that permission through the appropriate mechanism.

You should not submit confidential information that you do not want disclosed unless Roburna Builders has expressly agreed in writing to receive it under appropriate confidentiality obligations.

5.4 Roburna Intellectual Property

Roburna retains all rights in its own intellectual property, including the Roburna name, Roburna Builders name, logos, trademarks, visual identity, software, documentation, materials, and other content provided by Roburna.

Participation in the Program does not grant you ownership of Roburna intellectual property.

Any permitted use of Roburna or Roburna Builders branding must comply with applicable brand guidelines and any instructions provided by Roburna.

Roburna Builders may provide Participants with access to resources, support, introductions, educational materials, technical guidance, community opportunities, visibility, events, mentorship, infrastructure, ecosystem connections, or other benefits.

The specific benefits available to a Participant may vary depending on the Program, stage, initiative, availability of resources, and other factors.

Program benefits are not guaranteed unless expressly stated in a separate written agreement.

Roburna Builders may modify, replace, suspend, or discontinue particular benefits, resources, events, or support offerings.

Participation in the Program does not guarantee:

• technical success;
• product-market fit;
• users or customers;
• revenue;
• business success;
• token listing;
• investment;
• funding;
• grants;
• partnerships;
• employment;
• acquisition;
• introductions to any particular person or organization; or
• any particular commercial or financial outcome.

Any funding, investment, grant, commercial arrangement, or other financial relationship offered by Roburna or another party will be governed by separate terms or agreements where applicable.

Roburna Builders is intended to provide a constructive environment for builders, founders, developers, partners, mentors, investors, community members, and other participants.

Participants are expected to behave professionally and respectfully.

You must not use the Program or related communities to:

• harass, threaten, intimidate, or abuse another person;
• engage in discrimination or hateful conduct;
• impersonate another person or organization;
• distribute malicious software or harmful content;
• engage in fraud, scams, deception, or other unlawful activity;
• intentionally disrupt Program activities or community spaces;
• misuse another person's confidential or personal information;
• infringe intellectual property or other rights;
• manipulate Program benefits, rewards, opportunities, or selection mechanisms;
• misrepresent your relationship with Roburna or Roburna Builders;
• make unauthorized commitments or statements on behalf of Roburna; or
• otherwise engage in conduct that materially harms the safety, integrity, or reputation of the Program or its participants.

These expectations apply across Program-related websites, communication channels, events, community spaces, and other environments where you participate in connection with Roburna Builders.

Roburna Builders may suspend or terminate your participation in the Program where we reasonably determine that:

• you have violated these Terms;
• you have provided materially false or misleading information;
• you have engaged in unlawful, fraudulent, abusive, or harmful conduct;
• your participation creates a material security, legal, regulatory, or operational risk;
• you have materially breached another agreement relating to the Program;
• you misuse Roburna or Roburna Builders intellectual property;
• you materially interfere with the Program or the rights of other participants; or
• continued participation is otherwise reasonably determined to be contrary to the interests or objectives of the Program.

Where appropriate, Roburna Builders may provide an opportunity to address or remedy a violation before terminating participation. However, we may suspend or terminate participation immediately where circumstances reasonably require it.

You may also withdraw from the Program at any time by notifying Roburna Builders through the appropriate communication channel.

Termination or withdrawal from the Program does not automatically terminate rights or obligations that are intended to survive termination, including applicable intellectual property, confidentiality, liability, dispute, or other provisions.

Participation in Roburna Builders does not constitute or guarantee:

• funding from Roburna;
• investment by Roburna;
• investment from any third party;
• a grant;
• a partnership with Roburna;
• an employment relationship with Roburna;
• a commercial agreement;
• an endorsement of your project;
• an endorsement of your team or its members;
• a token listing;
• access to a particular investor, partner, customer, or service provider; or
• any other financial, commercial, or strategic outcome.

Roburna Builders may introduce Participants to investors, partners, service providers, community members, or other third parties where appropriate.

Any such introduction does not constitute an endorsement, recommendation, guarantee, or representation regarding the third party or the outcome of the relationship.

Participants are responsible for conducting their own due diligence before entering into any investment, commercial, partnership, or other relationship.

Where Roburna or an affiliated entity decides to invest in, fund, partner with, or otherwise enter into a formal relationship with a Builder or project, that relationship will be governed by separate written terms where applicable.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROGRAM AND ALL PROGRAM-RELATED SERVICES, INFORMATION, RESOURCES, MATERIALS, INTRODUCTIONS, FEEDBACK, AND SUPPORT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

ROBURNA BUILDERS DOES NOT GUARANTEE THAT THE PROGRAM OR ANY PARTICULAR BENEFIT, RESOURCE, SERVICE, INTRODUCTION, EVENT, MENTORSHIP OPPORTUNITY, TECHNICAL SUPPORT, OR OTHER PROGRAM FEATURE WILL BE AVAILABLE AT ALL TIMES OR WILL MEET YOUR PARTICULAR REQUIREMENTS.

ROBURNA BUILDERS DOES NOT GUARANTEE THE SUCCESS, PERFORMANCE, SECURITY, PROFITABILITY, ADOPTION, OR LONG-TERM VIABILITY OF ANY BUILDER OR PROJECT.

Information, feedback, guidance, mentorship, or introductions provided through the Program are not guarantees of any particular outcome and should not be treated as professional legal, financial, investment, tax, accounting, or other professional advice.

Builders remain responsible for independently evaluating advice, opportunities, technologies, investments, partnerships, and other decisions relating to their projects.

Roburna Builders does not guarantee that information provided through the Program will always be complete, accurate, current, or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROBURNA AND ITS AFFILIATES, CONTRIBUTORS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE PROGRAM.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROBURNA WILL NOT BE LIABLE FOR LOSSES ARISING FROM:

• your project or business activities;
• decisions you make based on Program information, feedback, mentorship, or introductions;
• actions or omissions of other Builders, investors, partners, mentors, service providers, or third parties;
• the failure, interruption, modification, or discontinuation of the Program;
• loss, corruption, or unauthorized access to information caused by circumstances outside Roburna's reasonable control;
• cybersecurity incidents affecting your own systems or project;
• intellectual property disputes involving your project or materials;
• changes in laws, regulations, markets, technology, or industry conditions; or
• events beyond Roburna's reasonable control.

Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable law.

Where applicable law does not permit a particular limitation of liability, that limitation will apply only to the maximum extent legally permitted.

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Roburna, its affiliates, contributors, officers, directors, employees, contractors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from or related to:

• your violation of these Terms;
• your unlawful or unauthorized participation in the Program;
• your project, products, services, or activities;
• your violation of another person's rights;
• materials or content you submit to the Program; or
• your breach of applicable law or regulation.

This provision applies only to the extent permitted by applicable law.

Roburna Builders may modify, expand, reduce, suspend, or discontinue the Program or any part of it at any time.

This may include changes to:

• Program structure;
• eligibility requirements;
• application processes;
• available resources;
• benefits;
• events;
• mentorship;
• community channels;
• technical resources;
• participation requirements; or
• other Program features.

Where reasonably practicable, Roburna Builders may provide notice of material changes.

Participation in the Program does not create a guarantee that any particular Program feature or benefit will continue indefinitely.

We may update these Terms from time to time to reflect changes to the Program, our practices, applicable law, or other relevant circumstances.

When we make changes, we will update the "Last Updated" date at the beginning of these Terms.

Where appropriate, we may provide additional notice through the Roburna Builders website, email, community channels, or another reasonable communication method.

Your continued participation in the Program after updated Terms become effective constitutes your acceptance of the revised Terms, to the extent permitted by applicable law.

If you do not agree to updated Terms, you should discontinue your participation in the Program.

Roburna Builders may receive information from applicants and Participants that is confidential or commercially sensitive.

Nothing in these Terms creates a general obligation for Roburna Builders to keep all information submitted through an application or Program confidential unless expressly stated otherwise or required by applicable law.

If you require confidential treatment for specific information, you should identify that information clearly and, where appropriate, enter into a separate confidentiality agreement with Roburna before disclosing it.

You remain responsible for determining what information is appropriate to submit through the Program.

Participation in Roburna Builders does not create an employment, agency, partnership, joint venture, franchise, fiduciary, or other similar relationship between you and Roburna unless expressly established in a separate written agreement.

You may not represent that you are an employee, agent, partner, representative, or authorized spokesperson of Roburna solely because you participate in Roburna Builders.

Similarly, Roburna Builders does not represent that every project or Builder participating in the Program is endorsed, sponsored, or operated by Roburna.

These Terms are governed by and interpreted in accordance with the laws of [Jurisdiction], without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Program will be subject to the exclusive jurisdiction of the courts located in [Jurisdiction], unless applicable law requires otherwise.

This section should be finalized after confirming the legal entity operating Roburna Builders and the jurisdiction applicable to that entity and the Program.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable where permitted by law.

The remaining provisions will continue in full force and effect.

These Terms, together with any additional terms or agreements expressly incorporated by reference, constitute the agreement governing your participation in Roburna Builders.

Certain Program opportunities, funding arrangements, partnerships, services, or other activities may be subject to separate written agreements.

Where separate terms expressly apply to a particular activity, those terms will govern that activity to the extent of any conflict with these Terms.

By submitting an application to or participating in Roburna Builders, you acknowledge that you have read, understood, and agree to these Terms.

If you do not agree to these Terms, you should not apply to or participate in the Program.
